Terms of Use

These Terms of Use (“Terms”) apply to the website of The Rogers and Waterhouse Foundation, Inc. (referred to as the “Foundation,” “we,” “us,” or “our”) located at rogerswaterhouse.org and any other websites or digital services operated or controlled by the Foundation (collectively, the “Website”), however accessed or used.

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you should not use the Website.

Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted on the Website with a revised effective date. Your continued use of the Website after any changes become effective constitutes acceptance of the revised Terms.

Nothing in these Terms grants any license or right to use any trademark, logo, or service mark displayed on the Website without the Foundation’s prior written consent.

User Submissions

If you submit information, materials, or communications to the Foundation through the Website or otherwise (including grant application materials, feedback, or other content), you represent that you have the right to provide such materials.

Unless otherwise stated in a separate written agreement, you grant the Foundation a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and process such submissions for purposes related to Foundation programs, communications, and operations.

Informational Purposes Only

The Content provided on the Website is for general informational purposes only. While we strive for accuracy, we do not guarantee that the information is complete, current, or error-free. Reliance on any Content is at your own risk.

Third-Party Links and Services

The Foundation does not control and is not responsible for the content, accuracy, availability, accessibility, security, privacy practices, or performance of any Third-Party Services. Your use of any Third-Party Services is subject to the terms, conditions, and privacy policies of those third parties. The Foundation does not endorse or make any representations or warranties regarding any Third-Party Services, or any products, services, donations, transactions, or information obtained through them. The Foundation shall not be liable for any loss or damage arising from or related to your use of, reliance upon, or interaction with any Third-Party Services, including without limitation issues relating to payment processing, data handling, accessibility, or service availability.

You access and use Third-Party Services at your own risk.

Privacy and Accessibility

Your use of the Website is also subject to our Privacy Policy and Accessibility Policy, which are incorporated into these Terms by reference.

Disclaimer of Warranties

The Website and all Content and services provided through it are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except to the extent prohibited by law.

We do not warrant that the Website will be uninterrupted, secure, or free from errors or harmful components.

Limitation of Liability

The Foundation does not warrant or make any representations regarding the accuracy, completeness, reliability, or timeliness of any information or materials available on or through the Website.

To the fullest extent permitted by law, the Foundation and its trustees, directors, officers, employees, agents, volunteers, contractors, service providers, licensors, and any parties involved in the creation, production, or delivery of the Website shall not be liable for any damages of any kind arising out of or related to:
  • your access to, use of, inability to use, or reliance upon the Website or any content or services available through the Website
  • any errors or omissions in Website content
  • any unauthorized access to or use of Website systems or information
  • any interruption, suspension, or termination of Website availability

Indemnification

You agree to defend, indemnify, and hold harmless the Foundation and its trustees, directors, officers, employees, agents, volunteers, contractors, and service providers from and against any and all claims, demands, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
  • your use of or activities in connection with the Website
  • your violation of these Terms
  • your violation of any applicable law, rule, or regulation
  • your infringement or misappropriation of any intellectual property, privacy, publicity, or other rights of any person or entity
  • any information, materials, or content submitted, transmitted, or otherwise provided by you to the Foundation through or in connection with the Website
  • your use of third-party services or links accessed through the Website

The Foundation reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with the Foundation in asserting any available defenses.

This indemnification obligation shall survive your use of the Website and the termination or modification of these Terms.

Copyright Infringement (DMCA Notice Procedure)

The Foundation respects the intellectual property rights of others and expects users of the Website to do the same.

In accordance with the Digital Millennium Copyright Act (“DMCA”), the Foundation will respond appropriately to notices of alleged copyright infringement that comply with applicable law. If you believe that material available on or through the Website infringes your copyright, you may submit a written notice requesting removal of the material.

DMCA Notice Requirements

A valid DMCA notice must include:
  • a physical or electronic signature of the copyright owner or a person authorized to act on the owner’s behalf
  • identification of the copyrighted work claimed to have been infringed (or, if multiple works are covered by a single notice, a representative list of such works)
  • identification of the material that is claimed to be infringing and information reasonably sufficient to permit the Foundation to locate the material (such as a URL or page description)
  • the claimant’s name, mailing address, telephone number, and email address
  • a statement that the claimant has a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law
  • a statement, made under penalty of perjury, that the information in the notice is accurate and that the claimant is the copyright owner or authorized to act on the owner’s behalf

Upon receipt of a compliant DMCA notice, the Foundation will take steps it deems appropriate, which may include removing or disabling access to the allegedly infringing material.

Counter-Notification

If you believe that material you submitted to the Website was removed or disabled as a result of mistake or misidentification, you may submit a written counter-notification containing:
  • your physical or electronic signature
  • identification of the material that has been removed or to which access has been disabled and the location where the material appeared before removal
  • a statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification
  • your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal court located in your judicial district (or, if outside the United States, any judicial district in which the Foundation may be found), and that you will accept service of process from the person who submitted the original DMCA notice

Repeat Infringer Policy

In appropriate circumstances, the Foundation may terminate or restrict access for users who are determined to be repeat infringers.

Misrepresentation

Please note that under federal law, any person who knowingly materially misrepresents that material or activity is infringing may be subject to liability.

Website Availability

We reserve the right to modify, suspend, or discontinue all or any part of the Website at any time without notice.

Children’s Use

The Website is intended for use by individuals who are at least 18 years of age. We do not knowingly provide services through the Website to minors.

Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any legal action arising out of or relating to these Terms or the Website shall be brought exclusively in the state or federal courts located within Volusia County, Florida, and you consent to the jurisdiction of such courts.

Severability

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with any policies incorporated by reference, constitute the entire agreement between you and the Foundation regarding the Website.
